1. Acceptance of Terms

By accessing and using ClinicShifts ("the Service"), operated by Nevit Ventures LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ClinicShifts provides medical staff scheduling software for medical groups and facilities. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

No Medical Advice: ClinicShifts is a scheduling and administrative tool. It does not provide medical advice, diagnosis, or treatment. You acknowledge that you are solely responsible for all medical decisions and patient care.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct & Restrictions

You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, or impairs the Service. You agree NOT to:

  • Upload, store, or share Protected Health Information (PHI) or patient data on the Service.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service.
  • Use the Service to transmit any viruses, malware, or other harmful code.
  • Violate any applicable local, state, national, or international law.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Nevit Ventures LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Subscription & Payments

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

All payments are processed securely through our third-party payment processor, Stripe. We do not store your full credit card information.

7. Limitation of Liability

In no event shall Nevit Ventures LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
